Terms of engagement

These terms apply when you ask Module Layercore Analytics to carry out a module performance audit, a follow-up review, a findings briefing, a sampling plan, or a related letter of scope. By confirming a scope in writing you accept them. If a signed scope letter sets a different rule on a point, that letter wins for that job.

The parties

The practice is Module Layercore Analytics, Level 8, 63 Gamsakhurdia Street, Kutaisi 4600, Georgia. You are the person or organisation named in the scope letter. If you instruct us on behalf of a plant you do not own, you confirm you have authority to open the module and to receive the findings.

The work

We provide professional observation, a measurement log, charts drawn from that log, written findings, and briefings as named in the scope. We do not sell software, subscriptions, goods, or a standing watch unless a separate letter says so. Findings are our independent reading of a window; they are not a guarantee that a module will behave the same way next season.

Your part

You give access, a named counterpart, and the claim you want tested. You do not withhold a log that exists. You tell us if numbers may not leave the site, so the briefing can be placed on your floor. Delay in access delays the window; it does not rewrite the claim.

Intellectual property

The measurement log and the findings letter, once the briefing is closed and the invoice is paid, are yours to keep and to show. Our working notes, unused draft charts, and internal checklists remain ours. You may not present our sheets as another auditor’s work. We may describe the job in general terms without naming you, unless the scope letter forbids even that.

Liability

We are careful. We are not insurers of a plant. Our liability for a job is limited to the fee paid for that job, except where Georgian law forbids a limit (for example, harm caused by intent or gross negligence). We are not liable for decisions you take after the briefing, including disputes with suppliers, staff, or authorities. You should take separate legal or engineering advice when a decision needs it.

Confidentiality

We do not publish your charts. We do not leave named sheets in a café. If a plant rule requires us to work only on site, the scope letter says so and we follow it.

Payment

Invoices follow the scope letter. Work that has started is billed according to that letter and the refund page. Unpaid invoices after the stated date may pause a briefing.

Governing law

These terms are governed by the law of Georgia. Courts in Georgia have jurisdiction. The working language of a dispute may be Georgian or English as the court allows.

Changes

We may update these terms for future jobs. A job already scoped stays under the terms that accompanied its scope letter.
